Proposed Constitution/Bylaw Changes 2009
The following changes to the association’s constitution and bylaws are presented to the membership in advance of the annual business meeting (to be held during the annual conference on May 19, 2009) for the prerequisite one month advance notice. Strikethrough text is a proposed deletion and highlighted text is a proposed addition. The proposed changes, followed by a summary and rationale for each, are as follows:

Please read the following proposals and be prepared to vote for their approval at the annual business meeting (only institutional members are eligible to vote on association matters). Any questions pertaining to these proposed amendments should be directed to Marla Edge, OrACRAO President, in advance of the business meeting.
Section I:
The executive officers of the Association shall be a president, a past president, a president-elect, a vice-president for professional development and training, a vice-president for technology and communication, a secretary, and a treasurer. The president-elect, the vice-presidents, the secretary, and the treasurer shall be elected at the Spring meeting. A simple majority of institutional members present and voting is necessary to elect officers. The new officers shall assume office at the end of the Spring meeting.

Amendment Summary: An additional vice-president position will be added to the Executive Committee and the current vice-president position will be renamed to support new responsibilities.
Amendment Rationale: In line with increased duties of Association officers, specifically maintaining the online event registration system, the Association’s listserv and website, planning and implementing the summer workshops, and coordinating the Oregon Transfer Days committee, we recommend that the current vice-president title be changed to: vice-president for professional development and training. We also recommend establishing a new vice-president for technology and communication.

All officers, with the exception of the secretary and the treasurer, who are each elected for two year terms the president, president-elect, and past president, who are each elected for one year, should hold office for one yeartwo years each. If the annual meeting is omitted or postponed, the officers will hold office until their successors are duly elected. No person may serve successive terms in the same office.

Section V:
The vice-president for professional development and training shall succeed to the office of president-elect in the event it becomes vacant. In addition, the vice-president will serve as chairperson of the Committee on Professional Development and Training and any ad hoc committees.
Section VI:
The vice-president for technology and communication shall be responsible for maintaining the online event registration system, the Association website, and the Association listserv.
Section VII: (was section VI)
The secretary shall be the custodian of the records of the Association. This person shall keep the minutes of the annual meeting and the meetings of the Executive Committee, and keep an accurate list of the Association members. This person shall edit, publish and distribute all official publications issued in the name of the Association, including the Association website.

Amendment Summary: The titles and responsibilities of the two vice-president positions will be changed in response to increased responsibilities for the Executive Committee. In support of increased continuity, the vice-president positions will be staggered.
Amendment Rationale: The best way to support the two vice-president positions and strengthen continuity in the Executive Committee is to stagger these positions. The vice-president for professional development and training and the treasurer will be on the same rotation. The vice-president for technology and communication and the secretary will be on the same rotation. To accomplish this, the Executive Committee proposes that the vice-president for technology and communication be limited to a one year term for 2009-2010 to then be filled for the stated two years beginning at the annual business meeting in 2010. The vice-president for professional development and training would be filled for the stated two year term beginning at the annual business meeting this year, May 2009.

Section III:
The Committee on Professional Development and Training shall consist of three members and shall be appointed by the president during the meeting at which the President is elected. This Committee, chaired by the vice-president for professional development and training, shall be responsible for arranging and conducting semiannual bi-annual workshops for admissions and records supervisory, secretarial, and clerical personnel.
Section IV: (new)
The Oregon Transfer Days Committee shall be chaired by the vice-president for professional development and training and two additional members who shall be appointed by the chair. Care should be taken to provide representation from all areas: community college and university, public and private.
Amendment Summary: An additional committee will be added to the current committee list to formalize the Oregon Transfer Days program.
This committee has been an ad hoc committee of the association for the past two years.
Amendment Rationale: The purpose of OrACRAO (Article II, Section 1B) is to “foster a better understanding of the activities of member institutions and to develop a spirit of cooperativeness, helpfulness, and unity in the solution of mutual problems.” A recent challenge for our membership has been streamlining and implementing the community college tour. The Oregon Transfer Days (OTD) Committee recognizes the need for this program to be aligned and centrally administered at the state level. Both the OrACRAO membership (all Oregon institutions of higher education) and purpose lend itself well for OrACRAO to be the oversight group for OTD. By adding OTD as an official OrACRAO committee, we formalize the current process, provide strategic planning and build on its recent success.
